2. Service No.02:
2.1 Eligibility:
Any company or body corporate incorporated outside Sri Lanka, whose business has been granted permission for the purposes of the Exchange Control Act, subject to the exclusions, limitations and conditions published in the Exchange Control gazette Notification No.1681/10 dated 22nd November 2010.
2.2 Method of submitting application:
2.2.1 Place where application from could be obtained:
Visiting to Department of Registrar of Companies or department website.
2.2.2 Payment for application:
For one forms - Rs. 10/-
2.2.3 Time to submit application:
Monday – Friday 9.00 a.m. to 3.00 p.m.
Saturday and Sunday 9.00 a.m. to 1.30 p.m.
2.2.4 Fees paying to obtain this service:
Overseas Company – Articles of the Association -Rs. 66,000/- + 15% VAT
(Registration Fee)
Form - 44-Rs. 2000/- + 15% VAT
Form - 45-Rs. 2000/- + 15% VAT
Form - 46-Rs. 2000/- + 15% VAT
Off-shore Company – Rs. 106,000/- +15% VAT
(Registration Fee)
Form - 44-Rs. 2000/- + 15% VAT
Form - 45-Rs. 2000/- + 15% VAT
Form - 46-Rs. 2000/- + 15% VAT
2.3 Period taken to provide the Service (Ordinary Service and Priority Service)
Ordinary Service – Within 1 and half week
2.4 Necessary Supporting documents
01. Incorporation Certificate of Mother Company .These documents should be certified by Sri Lankan
02. If name changes, name change certificate.
03. Memorandum & Articles of Association.
Above three documents should be certified by the Sri Lankan embassy situated in mother company.
(If documents is not in English , should be translate to English Language)
04. Name Reservation Application
05. Resolution
06. Original Power of Attorney (should be register by Registrar General Department)
07. If there is an Contact Agreement signed between Sri Lankan Government or any Department,copy of relevant agreement.
08. Confirmation letter regarding US$ 200,000.

2.6 Exceptions, instances not included above and special information.
In the case of a country where there is no Sri Lankan Embassy the signatures may be authenticated by the Trade Commissioner; or any representative of the government of Sri Lanka in that country; or any number of the judiciary of that country; or any other person acceptable to the Registrar General of Companies
